To maintain statutory records, file returns to CPC, assist with formation of companies, prepare board agendas and many other tasks.
To guide directors about the day-to-day management of the organisation, including compliance with legal and statutory requirements.
To ensure that the organisation complies with standard financial and legal practice and maintains high standards of corporate governance.
The company secretary holds a strategic position at the heart of governance operations within the organisation and acts as a point of communication between the board of directors and company shareholders.
Qualifications / Skills
Tertiary qualification Bcom or LLB
 A CIS qualification from Chartered Secretaries Southern Africa (CSSA) plus Associateship (i.e. Chartered Secretary status) and good standing with CSSA advantageous
 Experience with the Companies Act/Projects/Transactions
 Must have a minimum of 5 years’ work experience in a company secretarial environment
 Valid drivers’ license (Own reliable vehicle)
 Excellent communication skills – written and verbal
 Excellent computer literacy especially in Microsoft applications
 Good interpersonal skills
 Ability to work under pressure
 Ability to work independently
 Problem solving skills
 Highly organised
 Ability to work in a highly confidential environment
 Ability to process large volumes of work
 Fluent in English and at least 1 of the other national languages, the more the better


Meetings and related administration:

Prepare Board agendas and review meeting papers

Attendance at, and recording of, meetings

Draft minutes

Provide minute extracts, as required

Draft board resolutions for various matters

Completion and timeous submission of required documents to CIPC

Maintain statutory record

Assist with the formation, take on, deregistration and liquidation of companies


Assist with governance-related matters, including, but not limited to, King IV

Adhere to good corporate governance and compliance

Maintain statutory records and filing returns to CIPC

General signing powers and levels of authority

Draft accurate powers of attorney

Respond to related queries

Provide guidance to users on the scope and application of General Signing Powers and Levels of Authority

Engagement with Directors and Executives

Respond to and assisting with queries on various matters

General liaison and queries

Respond to general queries regarding FICA, Tenders, Credit Applications, SARS, B-BBEE verification and Auditor queries
